All professional engagements are subject to a separate Service Agreement or Scope of Work (SOW) which outlines specific deliverables, timelines, and costs. In the event of a conflict between these website Terms and a signed SOW, the signed SOW shall prevail.
Intellectual Property
- Agency Content: All content on this website (text, graphics, logos, code, and software) is the property of Ydigital Agency and is protected by copyright laws.
- Client Deliverables: Upon full payment of all fees, the Client is granted ownership of the final deliverables (e.g., website code, graphic designs). Ydigital Agency retains the right to reuse underlying code libraries, frameworks, and generic tools developed prior to or during the project.
User Conduct & Website Usage
Comments & Interaction When visitors leave comments on the site, we collect the data shown in the comments form, along with the visitor’s IP address and browser user agent string to aid in spam detection.
- Anonymized Strings: An anonymized string created from your email address (hash) may be provided to the Gravatar service to check if you are using it.
- Public Visibility: After approval of your comment, your profile picture and comment text are visible to the public. Ydigital reserves the right to remove any comments deemed spam, offensive, or irrelevant.

- South Africa & International Clients: For clients contracting with our South African entity or clients located outside of the SADC region (e.g., USA, Europe), this agreement is governed by the laws of the Republic of South Africa. Disputes shall be subject to the jurisdiction of the courts in Cape Town.
- Zambia: For clients contracting specifically with our Zambian entity, this agreement is governed by the laws of the Republic of Zambia. Disputes shall be subject to the jurisdiction of the courts in Lusaka.
- Zimbabwe: For clients contracting specifically with our Zimbabwean entity, this agreement is governed by the laws of the Republic of Zimbabwe. Disputes shall be subject to the jurisdiction of the courts in Harare.
Informal Dispute Resolution We value our relationship with our clients across all borders. In the event of a dispute, you agree to first contact Ydigital Agency at [Insert Email] and attempt to resolve the matter informally for a period of at least 30 days before initiating any formal legal action.
Arbitration (Cross-Border) To provide a faster and more cost-effective resolution for international disputes, any unresolved claim arising out of or relating to these Terms shall be settled by binding arbitration administered by the Arbitration Foundation of Southern Africa (AFSA), unless a local equivalent is mandated by the specific laws of Zambia or Zimbabwe for local contracts.
Compliance Ydigital Agency operates in strict compliance with the local regulatory frameworks of South Africa (POPIA), Zambia (Data Protection Act), and Zimbabwe (Cyber & Data Protection Act). By using our services, you agree to comply with the relevant laws applicable to your jurisdiction.
